1. Introduction and Legal Status of Agreement

These Terms of Service (the “Terms” or “Agreement”) govern the use of services provided by ZmeuSolutions Career Education Inc. (“ZmeuSolutions,” “the Company,” “We,” “Us”), registered in the province of British Columbia, Canada.

By accessing or using our website zmeu-solutions.com, (https://zmeu-solutions.com/) platform, or any related services (“Services”), you (“User,” “You”) agree to be legally bound by these Terms.

If you do not agree with these Terms, you must immediately stop using the Services.

2. Definitions
• Services — online educational courses, platforms, applications, content, and related features provided by ZmeuSolutions.
• User — any individual or legal entity accessing or using the Services.
• User Content — any material (assignments, messages, videos, texts, etc.) uploaded by the User.
• Course Activation — the moment a user first logs in or accesses course materials.
• 25% Usage Threshold — the condition under which no refund is available once the User has consumed 25% or more of the course content, except in cases of verified technical issues caused by the Company.
• Payment Systems — Visa, Mastercard, and other supported payment providers.
• Chargeback — the process of initiating a forced refund through the user’s issuing bank.

3. Acceptance of Terms and Amendments

3.1. By using the Services, you acknowledge that you have read, understood, and agreed to these Terms.

3.2. ZmeuSolutions reserves the unilateral right to:
• modify or update the Terms,
• adjust or discontinue Services,
• change pricing and access structures.

3.3. We will provide reasonable notice of material changes, and continued use of the Services constitutes acceptance of the revised Terms.

4. Access and Use of Services

4.1. Access is permitted only to individuals 16 years of age or older and legally capable of entering into binding agreements.

4.2. ZmeuSolutions reserves the right to deny access without explanation, including but not limited to:
• suspected violation of these Terms,
• potential risks to platform security or reputation,
• regulatory or legal restrictions.

4.3. We reserve the right to suspend or terminate access temporarily or permanently, without prior notice and without compensation.

5. User Accounts

5.1. Users are responsible for providing accurate information and safeguarding login credentials.

5.2. Account sharing without prior authorization is prohibited.

5.3. ZmeuSolutions reserves the right to block or terminate accounts if:
• Terms are violated,
• abuse or fraud occurs,
• false information is provided,
• the system is accessed in an unauthorized way.

5.4. Account suspension or termination does not exempt the User from liability for actions already taken and does not obligate ZmeuSolutions to issue refunds.

6. Intellectual Property

6.1. All rights to software, interface, text, images, course content, branding, and trademarks are owned by ZmeuSolutions.

6.2. The User is granted a limited, non-exclusive, revocable license to use the Services for personal, non-commercial purposes only.

6.3. The User may not copy, modify, distribute, sell, lease, reverse-engineer, or use content to train AI systems without prior written consent.

6.4. Violation of this clause may result in civil and criminal liability.

7. User Content

7.1. Users retain ownership of their content but grant ZmeuSolutions a non-exclusive, royalty-free, perpetual license to use it for the operation and improvement of the Services.

7.2. We may remove or block content without notice if it:
• violates laws, these Terms, or third-party rights,
• contains illegal or harmful materials,
• may damage the Company’s reputation.

7.3. ZmeuSolutions is not obligated to store User Content and may delete it at any time at its sole discretion.

8. Acceptable Use Policy

It is prohibited to:
• post illegal, defamatory, or offensive content,
• infringe intellectual property rights,
• use the Services for commercial purposes without a contract,
• use the Services for spam, scraping, or attacks on infrastructure,
• use data for AI training without permission,
• gain unauthorized access to others’ accounts.

ZmeuSolutions reserves the right to suspend or terminate access without notice or compensation.

9. Paid Services, Payment, and Pricing Changes

9.1. Nature of Paid Services.
ZmeuSolutions provides access to digital courses, programs, and additional services on a paid basis. Pricing may vary depending on course type, duration, bundles, promotional campaigns, or other conditions.

9.2. Currency and Price Display.
All prices are listed in Canadian dollars (CAD) and may include or exclude applicable taxes and fees, depending on jurisdiction. Tax details are shown during checkout.

9.3. Price Publication and Transparency.
Current pricing information is published and regularly updated:

• on the checkout page,
• in promotional materials (if applicable).
The price displayed on these resources at the time of payment is final and supersedes any previous pricing.

9.4. Right to Change Prices.
ZmeuSolutions reserves the right to unilaterally change prices, billing structures, packages, and subscription terms without prior individual notice.

• becomes effective on the date of publication,
• may be communicated through banners, email, or other reasonable methods.

9.5. Price Applicability.
The price in effect at the time of checkout applies to that specific transaction. New prices do not apply retroactively.

9.6. Automatic Payments and Subscriptions.
For subscriptions with automatic renewal:
• the Company provides reasonable advance notice of price increases (e.g., email or account notification),
• the User may cancel before the next billing cycle if they do not accept the new terms,
• failure to cancel will result in automatic application of new pricing.

9.7. Non-Payment and Access Suspension.
The Company reserves the right to suspend access to Services in cases of:
• non-payment,
• declined transactions,
• chargeback or reversal.
The Company has no obligation to preserve access, content, or progress in such cases.

9.8. Taxes and Fees.
The User is responsible for paying all applicable taxes and fees. Tax amounts may be calculated automatically depending on the User’s jurisdiction.

9.9. Pricing Errors.
In the event of a clear error (e.g., system malfunction), the Company reserves the right to cancel the transaction and issue a refund.

10. Refund Policy
• Refunds are available within 14 days if the course has not been activated.
• After activation, refunds are only available for verified technical issues beyond the User’s control.
• If 25% or more of the course has been used, refunds are not available, except for confirmed platform errors.
• The Company may deny refunds in cases of fraud, Terms violation, or unauthorized content use.
• Refunds are issued using the same payment method in accordance with applicable laws and payment system rules.

11. Privacy and Data Processing

11.1. We comply with PIPA and, for cross-border transfers, with PIPEDA.
11.2. ZmeuSolutions may collect, use, and store personal data as necessary to provide services, prevent fraud, comply with legal requirements, and protect its legitimate interests.
11.3. Access may be restricted if data protection rules are violated.
11.4. Marketing communications comply with CASL, with clear opt-out options.

12. Security

12.1. While we implement security measures, absolute security cannot be guaranteed.
12.2. The User uses the Services at their own risk.
12.3. We are not liable for damage caused by breaches, failures, leaks, or third-party actions, except in cases of gross negligence on our part.

13. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE.”
ZmeuSolutions expressly disclaims all warranties, including but not limited to:
• merchantability,
• fitness for a particular purpose,
• error-free or uninterrupted service.

14. Limitation of Liability

14.1. ZmeuSolutions shall not be liable for:
• indirect, incidental, punitive, or consequential damages,
• lost profits, data, or business interruptions,
• actions of users or third parties.

14.2. The Company’s total liability is limited to CAD $20 or the amount paid by the User in the preceding 6 months, whichever is greater.

14.3. The User is responsible for violations of law, third-party rights, or these Terms.

15. Indemnification

The User agrees to indemnify and hold harmless ZmeuSolutions from any claims, losses, expenses, or legal actions (including attorneys’ fees) arising from:
• violations of these Terms,
• infringement of third-party rights,
• misuse of access or content.

16. Dispute Resolution and Arbitration

16.1. All disputes shall first be attempted to be resolved informally.

16.2. Unresolved disputes may be submitted to arbitration in the province of British Columbia.

16.3. This does not limit a consumer’s right to contact Consumer Protection BC or pursue remedies in court where required by law.

16.4. Class action waivers shall apply to the maximum extent permitted by law.

17. Export Control and Sanctions

17.1. Users represent that they are not located in any restricted or sanctioned territory.
17.2. Use of VPN to bypass such restrictions is prohibited.
17.3. Violations grant the Company the right to immediately suspend access without refund.

18. Governing Law

This Agreement is governed by the laws of Canada and the Province of British Columbia, excluding conflict-of-law principles.

19. General Provisions
• Invalidity of any provision shall not affect the remainder of the Agreement.
• Failure to enforce a right does not constitute a waiver.
• The Company may assign its rights and obligations under this Agreement without user consent.
• Users may not assign their rights without prior written permission.
